Does anyone have any experience with reviewing NDA agreements? A customer contacted me but wants me to sign one. Does the website have anything built in about confidentiality between the two parties?

- Nothing built in. That agreement would be between you (your company) and the customer (their company). It is best for you to have that control /knowledge.

- There are many NDAs online. Be careful to read it closely and that it protects both of you. I have seen some homemade NDAs that I would not sign. When faced with this, I often provide my own based on a standard NDA template or one I have gotten from a source that I know is valid.

- Their company is just trying to protect their product. You as the builder should not have a problem as you are just building a part and sending it off. Unless your printer is not secure, then you have everything to worry about.

- No, an NDA is not redundant. They are very useful but are still dependent on who you are dealing with. After all, once the cat is out of the bag, it is out of the bag.

- I have signed tons of NDA's, I am under 4 NDA's right now.. And yes they are benifical for payment... Make sure you read them front to back and get a the signed original "Mailed" to you.

- We use NDAs all the time. So much so that we have a standard mutual NDA that we use for almost everything. A truly mutual NDA will protect BOTH parties. Whenever I am presented with an NDA I automatically respond with my Mutual NDA. I have only had 1 company refuse to use it but it does get reviewed by the other parties legal departments frequently. My advice is that you find a mutual NDA that fits your needs and use that. If you are using one from someone else make sure your read and understand the entire thing.

For the future, a small project-management tool would be nice as well, for each project. Expected timelines for a project, executed NDA in place, associated message threads and files. Nice to haves, but would be helpful.

I once was asked to sign an NDA that included all sorts of bogus clauses including: - Claiming payment was pre-negotiated, when it was not - Required transfer of all intellectual property regarding my printer to the client - $50,000 out of court settlement regardless of validity of claim
Unlike the Terms and Conditions on forums, NDAs are not to be taken lightly.
